Terms of Service

These Terms of Service ('Terms') govern your access to and use of MerchantPilot. MerchantPilot is a software-as-a-service product operated by Min-Soo Kim, an independent developer based in Seoul, South Korea ('we', 'us', 'MerchantPilot'). By creating an account or using the service, you agree to these Terms.
01What MerchantPilot is
MerchantPilot is a web application for Shopify agencies and freelancers. It connects to the Shopify stores you manage, aggregates their performance data into a single dashboard, and automatically emails weekly, agency-branded reports to your clients on your behalf.
The service is provided on a monthly subscription basis. It is a software tool — we do not provide financial, tax, or business advice, and the reports we generate are informational summaries of data made available through Shopify.
02Accounts and eligibility
You sign in using a passwordless magic link sent to your email address. You are responsible for keeping access to that email account secure, and for all activity that occurs under your account.
To connect client stores, you authenticate through Shopify Partner OAuth. You represent that you have the authority and the necessary permissions from your clients to connect their stores and to send reports on their behalf.
You must be at least 18 years old and able to form a binding contract to use MerchantPilot.
03Acceptable use
You agree not to:
- Create multiple accounts to circumvent free-trial limits or founding-rate limits.
- Connect stores you are not authorized to access, or send reports to recipients without a legitimate business relationship.
- Resell, sublicense, reverse-engineer, or attempt to extract the source code of the service.
- Use automated tools to access the service in a way that degrades performance for others, or attempt to breach our security or that of Shopify.
- Use the service to send unsolicited bulk email (spam) or any unlawful, misleading, or infringing content.
04Billing and subscriptions
Subscriptions are billed monthly through Lemon Squeezy, our Merchant of Record. Lemon Squeezy handles payment processing, invoicing, and applicable sales tax/VAT. Your payment card details are handled by Lemon Squeezy — we never see or store them.
New subscriptions begin with a 14-day free trial. If you do not cancel before the trial ends, your card is charged the then-current rate for your plan and monthly thereafter until you cancel.
The founding rate of $49/month is offered to the first 10 agencies and, once active, remains locked for the life of that subscription. General pricing may change with 30 days' notice; changes do not affect a locked founding rate that remains continuously active.
You can cancel at any time from your billing portal. Cancellation takes effect at the end of the current billing period; we do not provide prorated refunds for partial periods except as described in our Refund Policy.
05Your data and your clients' data
Through Shopify Partner OAuth we access only read-only store data (such as revenue, orders, average order value, and product performance) for the stores you connect. We never receive or store your clients' Shopify admin passwords. Our handling of this data is described in our Privacy Policy.
You retain all rights to your agency branding and to the underlying store data. You grant us a limited license to process that data solely to operate the service — generating dashboards and sending the branded reports you configure.
06Service availability
MerchantPilot is an early-stage product provided on an 'as is' and 'as available' basis. We do not guarantee any specific uptime. The service depends on third parties — including Shopify's APIs, our hosting providers, and email delivery — whose behavior may change without notice and is outside our control.
We may modify, suspend, or discontinue features over time. We will make reasonable efforts to notify active subscribers of material changes that affect them.
07Limitation of liability
To the maximum extent permitted by law, MerchantPilot is not liable for any indirect, incidental, or consequential damages, or for lost profits or lost data, arising from your use of the service. Our total liability for any claim is limited to the amount you paid us in the 12 months preceding the claim.
You are responsible for reviewing reports before they are relied upon, and for your own communications with your clients.
08Termination
You may stop using the service and cancel at any time. We may suspend or terminate accounts that violate these Terms. On termination, your store integrations are de-provisioned cleanly at the end of the billing cycle, and you may request export or deletion of your data as described in our Privacy Policy.
09Governing law and changes
These Terms are governed by the laws of the Republic of Korea, without regard to conflict-of-law rules. We may update these Terms from time to time; material changes will be reflected in the 'Last updated' date above and, where appropriate, communicated to active subscribers.
